Terms and Conditions
These terms are an agreement between ("we", "us") and the dealership that uses ("you"), including everyone the dealership allows to sign in. By applying for an account, or by signing in, you accept these terms. If you do not accept them, do not use the service.
1. The service
is online software for Ontario motor vehicle dealers to manage inventory, deals, customers, leads and the forms they print. We may add, change or remove features. We will give at least 30 days' notice before removing a feature you rely on, or before raising your fees.
2. Accounts
- Accounts are for registered dealerships only. We review each application and may decline any application.
- The information you give us must be true and kept up to date, including your OMVIC registration, HST number and address.
- Each user needs their own sign-in. Do not share passwords. You are responsible for everything done through your users' accounts, and for removing users who leave.
- Tell us right away at if you think an account has been used without permission.
- Users must be adults able to enter into a binding agreement.
3. Your records and your responsibilities
You own the records you enter or upload. You give us permission to store, process and display them only to provide the service to you, as set out in our Privacy Policy.
You are responsible for:
- Having the right to enter your customers' information, and for any consents and notices privacy law requires.
- Checking every form, bill of sale, disclosure and payment calculation before you give it to a customer, a lender or a regulator. The software is a tool. It is not legal, tax or financial advice, and it does not replace your duties under the Motor Vehicle Dealers Act, 2002, OMVIC rules, consumer protection law and tax law.
- Keeping your own records for as long as the law requires. Export them before you close your account.
4. Acceptable use
You may not:
- Enter false or misleading information, or use the service for fraud or any unlawful purpose.
- Try to get into another dealership's records or into parts of the service you are not allowed to use.
- Upload viruses or harmful code, or interfere with the service's security or performance.
- Copy, resell, reverse-engineer or build a competing product from the service, or access it with bots or scrapers except through features we provide.
5. Fees and payment
- New dealerships start with a free one-month trial. You can cancel before it ends and pay nothing.
- After the trial, you choose a monthly plan or an annual plan. The annual price is ten times the monthly price. Prices are shown at checkout or in your order, plus applicable taxes.
- Plans renew automatically each month, or each year for annual plans, until cancelled.
- Payment is due at the start of each billing period.
- To cancel, notify us in writing at least 30 days before your next billing date. The service continues until the end of the period you have paid for.
- Fees already paid are not refundable, except where the law requires a refund.
- If a payment is more than 7 days late, we may suspend access after notifying you. If it is more than 30 days late, we may close the account under section 8.
6. Our intellectual property
We, or our licensors, own the software, its design and its content. We give you a limited, non-exclusive, non-transferable right to use the service for your dealership's business while your account is active and paid. No other rights are granted. The name and logo may not be used without our written permission.
7. Availability and warranty
We work to keep the service available and your records safe, but we do not promise it will be uninterrupted or error-free. Except as these terms state, the service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties and conditions, including merchantability, fitness for a particular purpose and non-infringement.
8. Suspension and termination
- You may close your account at any time under section 5.
- We may suspend or close an account, with notice where reasonable, if these terms are breached, if fees are unpaid, if your dealer registration lapses, or to protect the service or other users.
- When an account closes, you will have 30 days to export your records before we delete them, unless the law requires otherwise.
9. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, however caused. Our total liability for all claims relating to the service is limited to the fees you paid us in the 12 months before the claim arose.
10. Indemnity
You will defend and compensate us for claims, losses and reasonable legal costs arising from your breach of these terms, the records you enter, or your dealings with your customers, lenders and regulators.
11. Disputes and governing law
If a dispute arises, either party will first give the other written notice describing it, and both will try in good faith to resolve it within 30 days. These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute that is not resolved will be heard by the courts of Ontario.
12. Changes to these terms
We may update these terms. We will post the new version here and e-mail dealership administrators at least 30 days before a significant change takes effect. Continuing to use the service after that date means you accept the change.
13. General
You may not transfer this agreement without our written consent. If any part of these terms is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. These terms, the Privacy Policy and any order or invoice are the whole agreement between us about the service.
